Terms of Use

Please read these Terms of Use ("Terms", "Terms of Use") carefully before using the Recipeez mobile application (the "Application" or "App") operated by Recipeez ("us", "we", or "our").

By downloading, accessing, or using the Application, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Application.

1. License Grant

Subject to your compliance with these Terms, Recipeez grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application for your personal, non-commercial purposes strictly in accordance with these Terms and any applicable app store terms.

The Application is licensed, not sold, to you. You may not:

• Rent, lease, lend, sell, redistribute, or sublicense the Application
• Copy, decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Application or any part thereof
• Remove, alter, or obscure any proprietary notice or labels on the Application
• Use the Application for any commercial purpose or for any public display
• Use the Application in any manner that could damage, disable, overburden, or impair our servers or networks

2. User Content and Data Ownership

2.1 User-Generated Content

The Application allows you to create, upload, store, and share recipes, photographs, cooking notes, and other content ("User Content"). You retain any copyright and intellectual property rights that you may hold in User Content that you submit to the Application.

2.2 License to Recipeez

By creating, uploading, or storing User Content through the Application, you grant Recipeez a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and improving the Application and our business, including without limitation for:

• Storing and backing up your User Content on our servers
• Enabling you to share recipes with other users or publicly
• Displaying your publicly shared recipes in the Application's discovery features
• Analyzing User Content to improve our recipe import and parsing technology
• Creating aggregated, anonymized data for analytics and business purposes
• Promoting the Application in marketing materials (for publicly shared content only)
• Any other purpose related to the operation, maintenance, improvement, or promotion of the Application

2.3 Data Ownership

IMPORTANT: All data, including User Content, uploaded to or created within the Application is owned by Recipeez. While you retain copyright in your original content, by using the Application, you acknowledge and agree that:

• Recipeez owns all right, title, and interest in and to the data stored on our servers
• Recipeez may use, modify, distribute, and monetize User Content and associated data in any manner at our sole discretion
• Recipeez is not required to provide compensation for any use of User Content
• You waive any claims of ownership or exclusive rights to data stored within the Application

2.4 Your Responsibilities

You are solely responsible for all User Content that you upload, post, or otherwise make available through the Application. You represent and warrant that:

• You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use your User Content as described in these Terms
• Your User Content does not and will not infringe, violate, or misappropriate any third-party rights, including copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right
• Your User Content does not contain any viruses, malware, or other harmful code

3. Copyright and Recipe Content

3.1 Recipe Copyright Notice

Recipes may be protected by copyright law. While ingredient lists are generally not copyrightable, the creative expression in recipes (such as detailed instructions, explanations, and stories) may be protected. By importing or adding recipes from third-party sources, you represent that:

• You have the right to copy and store such recipes for your personal use
• You will not share recipes publicly through the Application unless you own the copyright or have obtained proper permission
• You understand that importing recipes from websites or other sources for personal use may be subject to fair use principles, but sharing such content may constitute copyright infringement

3.2 Copyright Infringement Claims

Recipeez respects the intellectual property rights of others. If you believe that content available through the Application infringes your copyright, please contact us with:

• A description of the copyrighted work that you claim has been infringed
• A description of where the material that you claim is infringing is located in the Application
• Your contact information
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
• A statement by you that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

3.3 Indemnification for User Content

You agree to indemnify, defend, and hold harmless Recipeez and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees and costs, arising out of or in any way connected with:

• Your User Content or your use of the Application
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any copyright, trademark, trade secret, or other property, or privacy right
• Any claim that your User Content caused damage to a third party

4. Privacy and Data Collection

We value your privacy. Our collection and use of personal information in connection with the Application is described in our Privacy Policy. By using the Application, you consent to our collection and use of data as described in the Privacy Policy.

We may collect technical data about your device, including but not limited to:

• Device identifiers and characteristics
• Operating system version
• Application usage statistics
• Crash reports and performance data

5. Subscription and Payment Terms

The Application may offer certain features through paid subscriptions. By purchasing a subscription, you agree to pay the applicable fees and any taxes. Subscription fees are billed in advance on a recurring basis (monthly or annual) and are non-refundable except as required by law or as expressly stated in these Terms.

Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage your subscriptions and turn off auto-renewal through your device's account settings.

6. Third-Party Services and Content

The Application may enable access to third-party services, websites, or content (including recipe websites from which you import content). These third-party services are not under Recipeez's control, and you acknowledge and agree that Recipeez is not responsible for:

• The content, accuracy, or availability of such third-party services
• Any products or services available from such third-party services
• The privacy practices of such third-party services

Your use of third-party services is at your own risk and is subject to the terms and conditions of such third parties.

7. Termination

These Terms are effective until terminated by you or Recipeez. Your rights under this license will terminate automatically without notice from Recipeez if you fail to comply with any of these Terms.

You may terminate your account at any time by:

• Deleting your account through the Application settings
• Uninstalling the Application from all your devices
• Contacting our support team

Upon termination, you must cease all use of the Application and delete all copies from your devices. Recipeez may, at its sole discretion, terminate or suspend your access to the Application at any time, with or without notice, for any reason, including if Recipeez believes that you have violated these Terms.

Note on Data After Termination: While you may request deletion of your account, please be aware that Recipeez retains ownership of all data as specified in Section 2.3. We may retain and continue to use User Content and associated data even after account termination, subject to applicable law.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

RECIPEEZ DOES NOT WARRANT THAT:

• The Application will meet your requirements or expectations
• The Application will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Application will be accurate or reliable
• Any errors in the Application will be corrected
• Recipe content imported from third-party websites will be accurate, complete, or properly formatted

YOU ASSUME ALL RISK AND RESPONSIBILITY FOR ANY LOSS, DAMAGE, OR UNSATISFACTORY RESULTS FROM YOUR USE OF THE APPLICATION. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM RECIPEEZ SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RECIPEEZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE APPLICATION.

IN NO EVENT SHALL RECIPEEZ'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO RECIPEEZ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

10. Export Restrictions

The Application may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws that apply to the Application, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

You represent and warrant that you are not:

• Located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country
• Listed on any U.S. Government list of prohibited or restricted parties

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

11.2 Jurisdiction

You agree that any dispute arising from or relating to these Terms or the Application shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

11.3 Time Limitation on Claims

You agree that any claim you may have arising out of or related to your relationship with Recipeez must be filed within one (1) year after such claim arose; otherwise, your claim is permanently barred.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Application or by other means. Your continued use of the Application after any such changes constitutes your acceptance of the new Terms.

We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

14. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Recipeez's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us in the Application, constitute the entire agreement between you and Recipeez concerning the Application and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Recipeez.

17. App Store Terms

17.1 Apple App Store

If you download the Application from the Apple App Store, you acknowledge and agree that:

• These Terms are concluded between you and Recipeez only, and not with Apple Inc. ("Apple")
• Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application
• In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application
• Apple is not responsible for addressing any claims by you or any third party relating to the Application or your possession and use of the Application
• Apple is a third-party beneficiary of these Terms and, upon your acceptance of these Terms, will have the right to enforce these Terms against you as a third-party beneficiary
• You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties

17.2 Google Play Store

If you download the Application from Google Play, you agree to comply with Google's Terms of Service, including the Google Play Terms of Service, and acknowledge that Google is not responsible for the Application or its content.

18. Food Safety and Dietary Information

The Application is designed for recipe management and organization purposes only. Recipeez does not provide medical, dietary, or nutritional advice. You are solely responsible for:

• Verifying the safety and suitability of recipes for your dietary needs and restrictions
• Following proper food safety and handling procedures
• Consulting with healthcare professionals regarding dietary concerns or restrictions
• Ensuring that any shared recipes comply with food safety regulations if used commercially

RECIPEEZ ASSUMES NO LIABILITY FOR ANY HEALTH ISSUES, ALLERGIC REACTIONS, FOODBORNE ILLNESSES, OR OTHER HARM ARISING FROM YOUR USE OF RECIPES STORED IN OR OBTAINED THROUGH THE APPLICATION.
